IRPLAST TO BECOME PART OF THE TOPPAN GROUP

The transaction is strategic for strengthening the group’s international development plan. IRPLAST’s management retains 20% of the share capital.

Empoli (FI), 24th of March, 2025 – The Japanese TOPPAN Group has entered into a definitive agreement to acquire 80% of the share capital of IRPLAST S.p.A. – through its subsidiary TOPPAN SPECIALITY FILMS, based in India. The stake is being aquired from the current majority shareholder, British-based investment fund Cheyne Strategic Value Credit (SVC). The management of IRPLAST will retain the remaining 20% of the share capital and will continue to lead the company. CEO Fausto Cosi and Luca de Bartolo, Chief Operating Officer, will work closely with TOPPAN Group’s management team. The transaction is expected to close in April, subject to satisfaction of certain closing conditions and customary regulatory approvals.

Currently, IRPLAST is involved in an important growth phase involving the commissioning of a new Brückner Maschinenbau production line using LISIM technology at its Atessa (CH) plant, which will triple the production capacity.

The acquisition of IRPLAST S.p.A. will create significant operational and commercial synergies. The TOPPAN Group, a global leader in sustainable integrated solutions across various sectors including printing, communications, security, packaging, decorative materials, electronics, and digital transformation, has strategically chosen to strengthen its presence in the European market by acquiring an established and well-respected player in the international market such as IRPLAST, which has seen steady growth and solid results.

The professional team supporting Cheyne Strategic Value Credit (SVC) in the divestiture process includes the advisor Houlihan Lokey and the law firm Chiomenti, while IRPLAST’s management was assisted by the law firm BonelliErede. In the acquisition process, TOPPAN Group was advised by EY India, KPMG, and the law firms Bird&Bird and SAM&Co. in the due diligence.
