MODEL 231 – OVERVIEW

In our legal system, Legislative Decree no. 231 of 8 June 2001 introduced and regulated the administrative liability of entities resulting from specific crimes committed in the interest or for the benefit thereof.

On 29 May 2020, the Board of Directors of Irplast S.p.A. passed the resolution to adopt an Organisation, Management and Control Model, as required by Legislative Decree no. 231 of 8 June 2001 (hereinafter the “Model”), the latest update of which was approved by the Board of Directors on 5 December 2023.

In accordance with the provisions of Art. 6(1)(b) of Legislative Decree no. 231 of 8 June 2001, the Company created a single-member Supervisory Board entrusted with the task of continuously monitoring the effective implementation of the Model.

CODE OF ETHICS

On 29 May 2020, Irplast S.p.A. defined and adopted a Code of Ethics, approved by its Board of Directors, which forms an integral and substantial part of the Organisation, Management and Control Model required by Legislative Decree no. 231 of 8 June 2001, the last update of which was approved by the Board of Directors on 5 December 2023.

The purpose of the Code of Ethics is to define the ethical principles that underpin our activities and rules of conduct inspired by principles of fairness, honesty, impartiality, transparency, and loyalty. 

WHISTLEBLOWING

Legislative Decree no. 24 of 10 March 2023 (the “Decree”) has transposed EU Directive 2019/1937 (the “Directive”) on the protection of persons who report breaches of Union law into an Italian law, thus laying down provisions on the protection of persons who report breaches of national legal provisions, i.e. whistleblowers.

The Decree extends the safeguards in the event of whistleblowing by expanding the subjective scope and procedures, in order to protect whistleblowers from any possible retaliation by creating secure communication channels, both within an organization and externally.

In accordance with Art. 4 of the Decree, Irplast S.p.A. has arranged an internal reporting channel, a digital platform called EQS Integrity Line (hereinafter also briefly the “Platform” or the “EQS platform”) and adopted a procedure for the management of the reporting process (the “Whistleblowing Procedure”), which is an integral part of its Organisation, Management and Control Model adopted pursuant to Legislative Decree no. 231 of 8 June 2001.

For greater whistleblower security, regardless of their choice to remain anonymous, we recommend logging in the EQS platform – which is not part of the Irplast S.p.A. website or intranet – from one’s personal device without using the Company’s internet connection.
